In Building RCM 03, we explored how blockchain infrastructure can support secondary markets and allow financial assets to interact with a broader ecosystem of financial applications.
Before an RCM Asset can participate in those markets, however, there is a more fundamental question to answer.
What exactly does an investor hold when they acquire an RCM Asset, and how does that asset relate to the underlying private robotics investment?
Understanding this relationship is important because RCM is designed to offer more than access to private investments. It introduces a different way to hold economic exposure to those investments, with the potential to participate in secondary markets while the underlying companies remain private.
The underlying investment and the RCM Asset
Consider an investment in a privately held humanoid robotics company.
In traditional private markets, an investor might acquire shares directly or participate through an investment vehicle. These positions can remain difficult to transfer for years, often until an IPO, acquisition or privately negotiated secondary transaction creates an opportunity to exit.
RCM introduces a different structure.
Through RCM, eligible investors can participate in selected private robotics opportunities through financial instruments issued by Humanoid Holdings Ltd and represented onchain as RCM Assets.
Each RCM Asset is connected to a specific underlying private investment position, providing investors with contractual economic exposure to that opportunity.
Rather than owning shares directly in the robotics company, investors hold instruments with defined rights linked to the underlying investment.
If that investment increases in value and the position is eventually realized through a sale or another liquidity event, RCM Asset holders may participate in the resulting proceeds according to the applicable offering terms.
How investors realize value
As the underlying company develops, the value of the investment may increase or decrease. However, changes in valuation do not automatically result in payments to RCM Asset holders.
For investors to receive distributions, proceeds must first be realized from the underlying investment.
This could happen through an acquisition or the sale of shares following a public listing.
When proceeds become available for distribution, the applicable net amount may be distributed proportionally to RCM Asset holders, based on their respective holdings and the terms of the offering.
This is how investors participate in the economic outcome of the underlying investment without needing to hold the company’s shares directly.
Blockchain introduces another possibility.
RCM Assets are designed to become transferable through compatible secondary markets, potentially allowing investors to sell their economic exposure while the underlying company remains private.
The underlying investment can remain within its existing structure while RCM Assets change hands between eligible market participants.
This creates an additional potential path to realizing value without waiting for an IPO, acquisition or another transaction involving the underlying investment.
Secondary market participation remains subject to applicable transfer restrictions, market conditions and the availability of buyers and sellers. Liquidity is not guaranteed.
Connecting private investments to onchain capital markets
RCM brings together the underlying private investment, the financial instrument defining the investor’s rights and the blockchain infrastructure through which that instrument can be issued, recorded and potentially transferred.
This relationship distinguishes an RCM Asset from a token that simply references the name or valuation of a private company.
For investors, it creates two potential ways to realize value. They may be able to sell their RCM Assets through secondary markets before the underlying company reaches a liquidity event, or receive distributions when proceeds from the underlying investment are realized.
For XMAQUINA, this forms part of the broader objective behind RCM. Building infrastructure that connects private robotics investments to onchain capital markets while preserving the legal and operational requirements associated with those investments.
Throughout this series, we’ve explored the challenges of accessing private robotics investments, the limitations of traditional liquidity structures and how blockchain infrastructure can support a different approach.
RCM Assets bring these ideas together by connecting economic exposure to private robotics investments with the potential for onchain transferability and integration into the broader crypto ecosystem.
Outside ofsecondary markets, compatible financial applications could introduce additional uses for RCM Assets, including lending, borrowing, collateral, derivatives and prediction markets. These possibilities depend on the development of independent markets and protocols.
The objective is to build the infrastructure that makes these possibilities worth exploring, while maintaining the legal and economic connection to the underlying private investments.
With that foundation established, the next step is bringing RCM into operation.
